TERMS & CONDITIONS FOR HEALTHCARE ESTABLISHMENTS

These Terms & Conditions (“Terms”) govern the registration, listing, use and participation of clinics, nursing homes, doctors’ chambers, diagnostic centres and other healthcare establishments (“Healthcare Establishment”, “you”, “your”) on the website citydoctor.in, the CityDoctor IN application and related services operated by CityDoctor Digital Health Care (“CityDoctor”, “we”, “us”, “our”).

By registering your Healthcare Establishment on our website or using any of our services, you acknowledge that you have read, understood and agreed to these Terms.

1. About CityDoctor IN

CityDoctor IN is a healthcare information and discovery platform intended to help users find relevant information about healthcare professionals, clinics, chambers, nursing homes, diagnostic centres and related healthcare services in their locality.

Our services may include displaying information such as:

- Name of the Healthcare Establishment
- Address and location
- Contact details
- Available doctors and their specialisations
- OPD/consultation timings
- Services and facilities
- Diagnostic services
- Images, logos and other establishment-related information
- Other information voluntarily submitted or authorised by the Healthcare Establishment

CityDoctor IN is an information and discovery platform and does not itself provide medical diagnosis, treatment, consultation, surgery, laboratory testing or any other medical service.

2. Eligibility for Registration

Registration may be made by:

1. The owner/proprietor of the Healthcare Establishment;
2. An authorised representative, manager or administrator;
3. A doctor or authorised person managing a chamber;
4. An authorised representative of a clinic, nursing home or diagnostic centre; or
5. Any other person having lawful authority to provide and manage the establishment's information.

You represent and warrant that you have the necessary authority to submit and manage the information provided to CityDoctor IN.

3. Accuracy and Authenticity of Information

You are solely responsible for ensuring that all information submitted to CityDoctor IN is:

- Accurate;
- Complete;
- Current;
- Not misleading;
- Legally permissible; and
- Properly authorised for publication.

This includes, but is not limited to:

- Establishment name;
- Address;
- Telephone/mobile numbers;
- Email address;
- Doctors' names;
- Qualifications and specialisations;
- Registration details, where applicable;
- OPD timings;
- Services and facilities;
- Diagnostic tests;
- Emergency/contact information;
- Images and logos; and
- Any other information supplied by you.

You must promptly update CityDoctor IN if any information becomes inaccurate, outdated or no longer applicable.

CityDoctor IN may request supporting documents or verification information where reasonably necessary.

4. Responsibility for Doctors and Healthcare Professionals

Where a Healthcare Establishment provides information regarding doctors, physicians, consultants, technicians or other healthcare professionals, the Healthcare Establishment is responsible for ensuring that such information is accurate and has been provided with appropriate authority.

CityDoctor does not independently guarantee or certify the professional competence, qualifications, experience, registration status, treatment outcomes or performance of any healthcare professional unless expressly stated otherwise.

The Healthcare Establishment remains responsible for ensuring that its doctors and other professionals possess all licences, registrations, qualifications and permissions required under applicable law.

5. Healthcare Services Are Provided by the Establishment

CityDoctor IN does not provide medical treatment or healthcare services through the listing.

Any consultation, diagnosis, prescription, surgery, diagnostic test, admission, treatment or other healthcare service is provided directly by the respective doctor, clinic, nursing home, chamber or diagnostic centre.

Any dispute relating to:

- Medical treatment;
- Diagnosis;
- Prescription;
- Test results;
- Treatment outcome;
- Fees charged by the establishment;
- Cancellation of consultation;
- Availability of a doctor;
- Quality of medical services; or
- Any other healthcare service

shall primarily be addressed with the concerned Healthcare Establishment or healthcare professional.

6. Listing and Publication of Information

After registration, CityDoctor IN may review the submitted information before publishing or activating the listing.

We reserve the right to:

- Accept or reject a registration;
- Request additional information or documents;
- Correct formatting or presentation of submitted information;
- Edit information for grammatical, technical or formatting purposes;
- Temporarily hide a listing;
- Suspend a listing; or
- Remove a listing

where we reasonably believe that the information is inaccurate, misleading, unauthorised, unlawful, fraudulent or otherwise inconsistent with these Terms.

7. Verification

CityDoctor IN may undertake reasonable verification of information submitted by Healthcare Establishments.

Verification may include checking publicly available information, contacting the establishment, requesting supporting documents or communicating with an authorised representative.

Verification or publication of a listing does not constitute a guarantee, certification, endorsement or warranty by CityDoctor IN regarding the quality, legality, reputation or medical performance of the Healthcare Establishment.

8. Profile Management

Where account/profile management facilities are provided, you are responsible for maintaining the confidentiality of your login credentials and for all activities carried out through your account.

You must immediately notify CityDoctor IN if you suspect:

- Unauthorised access;
- Loss of login credentials;
- Misuse of your account; or
- Any unauthorised modification of your profile.

You must not share your account credentials with an unauthorised person.

9. Changes to OPD Timings and Availability

Healthcare Establishments are responsible for keeping their doctors' schedules, OPD timings and availability information updated.

CityDoctor IN may display information supplied by the establishment, but CityDoctor IN cannot guarantee that a doctor will always be physically present at the stated time.

Doctors' schedules may change because of emergencies, leave, professional commitments, holidays or other circumstances.

Users are therefore encouraged to contact the Healthcare Establishment directly before visiting whenever confirmation is necessary.

10. Paid and Promotional Services

CityDoctor IN may offer certain premium, paid, promotional or enhanced listing services to Healthcare Establishments.

Such services may include enhanced profile visibility, additional information fields, promotional placement, featured profiles or other services introduced by CityDoctor IN from time to time.

The applicable fee, service period and features will be communicated to the Healthcare Establishment before purchase or activation.

Payment for a particular service does not guarantee:

- A specific number of users;
- A specific number of calls;
- A specific number of patients;
- A specific number of appointments;
- A specific revenue or business result; or
- Any particular search ranking unless expressly agreed in writing.

11. Payment and Renewal

Where a paid service is selected, the Healthcare Establishment agrees to pay the applicable charges within the prescribed period.

Unless expressly stated otherwise, fees paid for a service are applicable only to the particular service and subscription period purchased.

Any renewal, upgrade or additional service shall be subject to the applicable charges communicated at that time.

CityDoctor IN may suspend paid features where applicable fees remain unpaid.

12. Refunds and Cancellation

Refunds, where applicable, shall be governed by the refund terms communicated for the particular service.

Unless expressly stated otherwise, payment for a service does not automatically create a right to a refund merely because:

- The establishment receives fewer enquiries than expected;
- The establishment does not receive patients through the platform;
- The establishment does not use the profile regularly;
- The establishment changes its business plans; or
- The establishment chooses not to continue using the service.

Nothing in this clause shall affect any refund or consumer right that cannot lawfully be excluded under applicable law.

13. User Enquiries and Leads

CityDoctor IN may provide facilities through which users can contact or enquire about a Healthcare Establishment.

CityDoctor does not guarantee that:

- Every enquiry will result in a visit;
- Every enquiry will result in an appointment;
- Every appointment will be completed;
- A user will purchase any service; or
- Any particular number of enquiries or patients will be generated.

Healthcare Establishments are responsible for responding to user enquiries appropriately and lawfully.

14. Prohibited Activities

A Healthcare Establishment shall not use CityDoctor for:

- Providing false or misleading information;
- Impersonating another healthcare establishment or professional;
- Claiming qualifications or services that are not legally or factually accurate;
- Uploading fraudulent documents;
- Misusing another establishment's identity, logo, photographs or content;
- Publishing unlawful or misleading medical claims;
- Uploading obscene, defamatory or unlawful material;
- Attempting to manipulate or misuse CityDoctor's systems;
- Creating duplicate or fraudulent profiles;
- Attempting unauthorised access to another account;
- Using the platform for activities prohibited by applicable law; or
- Any activity that may harm CityDoctor, its users or other establishments.

15. Medical and Promotional Claims

Healthcare Establishments must ensure that advertisements, descriptions and promotional information submitted to CityDoctor comply with applicable laws, professional standards and regulatory requirements.

You must not use CityDoctor to publish misleading claims regarding:

- Guaranteed treatment;
- Guaranteed cure;
- Guaranteed results;
- Unverified medical superiority;
- False qualifications;
- False awards or certifications; or
- Any other misleading healthcare claim.

CityDoctor may remove or modify content that it reasonably considers misleading, unlawful or inappropriate.

16. Photos, Logos and Other Content

By submitting photographs, logos, trademarks, descriptions or other materials (“Content”) to CityDoctor, you represent that:

1. You have the necessary rights or permission to submit the Content;
2. The Content does not infringe any third-party rights; and
3. Publication of the Content does not violate applicable law.

You grant CityDoctor a non-exclusive, royalty-free, limited licence to host, reproduce, display, format and publish such Content for operating, promoting and providing CityDoctor's services.

This licence shall continue for as long as reasonably necessary for the operation of the relevant listing or service, subject to applicable law and our policies.

17. Intellectual Property

The CityDoctor name, logo, website, applications, software, design, interface, databases, graphics, text and other original materials relating to the platform are owned by or licensed to CityDoctor Digital Health Care and are protected by applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, sell, reverse engineer or commercially exploit CityDoctor's intellectual property without prior written permission.

Your own trademarks, logos and establishment-specific Content remain your property, subject to the licence granted to CityDoctor under these Terms.

18. Third-Party Information and Services

CityDoctor may display information, links, maps, communication facilities or other services provided by third parties.

Such third-party services may be governed by their own terms and privacy policies.

CityDoctor is not responsible for the availability, accuracy, security or performance of third-party services beyond its reasonable control.

19. Data and Privacy

CityDoctor may collect and process information relating to Healthcare Establishments and their authorised representatives in accordance with our Privacy Policy.

Information may include establishment details, contact information, account information, transaction details, submitted documents and other information necessary to provide or administer the service.

Healthcare Establishments should not submit unnecessary personal, confidential or sensitive information through the platform.

Where you provide personal information relating to another individual, you represent that you have the necessary authority or lawful basis to provide such information.

20. Confidentiality

Healthcare Establishments should not upload confidential patient information, medical records or other sensitive information unless a particular CityDoctor service expressly requires it and appropriate safeguards are provided.

You remain responsible for ensuring compliance with applicable confidentiality and data-protection obligations relating to information under your control.

21. No Guarantee of Platform Availability

CityDoctor will make reasonable efforts to maintain the availability and functionality of its website, applications and services.

However, we do not guarantee that the platform will always be:

- Available without interruption;
- Free from technical errors;
- Free from temporary downtime;
- Completely secure from every possible threat; or
- Compatible with every device or network.

Maintenance, technical problems, third-party failures, internet/network issues and circumstances beyond our reasonable control may affect availability.

22. Disclaimer of Warranties

To the maximum extent permitted by applicable law, CityDoctor provides its platform and listing services on an “as available” basis.

CityDoctor does not warrant or guarantee:

- The accuracy of every piece of information submitted by establishments;
- The availability of a particular doctor;
- The quality of any healthcare service;
- The outcome of any medical treatment;
- The number of patients or enquiries;
- The commercial success of any listing;
- Continuous or uninterrupted availability of the platform; or
- That use of the platform will meet every particular business requirement.

23. Limitation of Liability

To the maximum extent permitted by applicable law, CityDoctor Digital Health Care shall not be liable for indirect, incidental, special or consequential losses arising from the use of the platform or from interactions between Healthcare Establishments and users.

CityDoctor shall not be responsible for medical treatment, diagnosis, prescriptions, procedures, laboratory results, professional conduct or healthcare services provided by third-party healthcare professionals or establishments.

Nothing in these Terms shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

24. Indemnification

You agree to indemnify and hold harmless CityDoctor Digital Health Care, its owners, employees, representatives and service providers from claims, losses, liabilities, damages, costs or expenses arising from:

- False or misleading information submitted by you;
- Unauthorised Content;
- Violation of these Terms;
- Violation of applicable law;
- Infringement of third-party intellectual property rights;
- Misuse of the platform; or
- Healthcare services or professional activities conducted by your establishment or its personnel.

This clause shall apply to the extent permitted by applicable law.

25. Suspension and Termination

CityDoctor may suspend, restrict or terminate an establishment's account or listing if:

- These Terms are violated;
- Information is found to be materially false or misleading;
- Fraudulent activity is suspected;
- Required verification is not completed;
- Applicable fees remain unpaid;
- The establishment misuses the platform;
- The establishment engages in unlawful activity; or
- Suspension is reasonably necessary to protect users, CityDoctor or the integrity of the platform.

You may request closure of your establishment account/listing by contacting CityDoctor through the designated contact channel.

Certain information may be retained where required for legal, accounting, security, dispute-resolution or regulatory purposes.

26. Removal or Correction of Information

If you believe that any information displayed in your establishment's profile is incorrect, outdated or unauthorised, you may contact CityDoctor and request correction or removal.

CityDoctor may request reasonable proof of identity, authority or ownership before making changes to a profile.

27. Changes to These Terms

CityDoctor may update these Terms from time to time to reflect changes in its services, technology, legal requirements or business practices.

The updated Terms will be published on citydoctor.in with an updated “Last Updated” date.

Continued use of the services after the updated Terms become effective shall constitute acceptance of the revised Terms, to the extent permitted by applicable law.

28. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to applicable law, disputes relating to these Terms or the services shall be subject to the jurisdiction of the competent courts having jurisdiction over the relevant location of CityDoctor Digital Health Care.

29. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue to remain in full force and effect to the extent permitted by law.

30. Entire Agreement

These Terms, together with the applicable Privacy Policy, payment/refund terms and any specific service agreement applicable to a Healthcare Establishment, constitute the agreement between the Healthcare Establishment and CityDoctor concerning the relevant services.
